SEEQ App Subscription Agreement

Duration

SEEQ App subscriptions last a minimum of six months, from the beginning of the subscription. During that time, subscriptions may be paused for a one-month period. During that period of time, projects and related activities such as new product set-up, project modification, story collection and analysis are paused, but all existing project information remains intact for use when the subscription is resumed. The subscription will be automatically extended by the duration of the pause (up to two months).

After the initial six-month subscription term has concluded, the SEEQ App subscription converts to a month-to-month subscription. After the initial term and with 30 days’ notice, the agreement can be terminated without cause, extended or modified. These Terms and Conditions are considered in effect once a SEEQ App Subscription is purchased, and the subscription is active once the initial payment is made.

Payment

The first monthly subscription fee is due at the beginning of the subscription period, and is paid using SEEQ App’s subscription payment portal. Payments are typically made via credit card, but other payment methods can be arranged. Subsequent monthly subscription payments are automatically processed using the payment method on file, and are processed on the monthly anniversary of the first payment date. If that date falls on a weekend, payment is due on the previous business day.

Additional Considerations
SMS will be permitted to publicly disclose the subscriber as a customer, and share a case summary (excluding confidential information) on its website, upon completion of this engagement.

Force Majeure

Neither party will be liable to the other for any loss, damage or default occasioned by strike, civil disorder, governmental decree or regulation, acts of God or any other force majeure (collectively, a “Force Majeure Event”). The parties agree that upon conclusion of a Force Majeure Event, each party will use commercially reasonable means to recommence full performance of their obligations under the Subscription Agreement.

Insurance

SMS agrees to maintain appropriate insurance coverage in the amount which shall not be less than the statutory limits required by the laws of the Commonwealth of Virginia then in effect. SMS shall provide proof of coverage on a certificate of insurance to Customer upon request.

Mutual Indemnification

Each party hereby agrees to, and does hereby, indemnify, save, defend and hold harmless the other party, its successors and assigns, from, against and in respect of any and all losses, claims, charges, obligations, liabilities, commitments, actions, proceedings, demands, judgments, assessments, penalties, costs, expenses (including reasonable attorneys’ fees and costs) and damages of any kind, nature or description whatsoever arising out of, in connection with or incident to any acts, omissions or negligence of such party and/or its officers, directors, members, employees, servants, contractors, suppliers, agents, representatives or others working for such party in connection with the performance of Services hereunder.
